1. Introduction

This Letter of Intent ("LOI") sets forth the understanding between [Full Name of Angel User] ("Participant") and CESL.fun ("CESL") regarding the potential purchase of one or more Ordinals. This LOI is non-binding but indicates the Participant's interest in acquiring a CESL Ordinal to publish games within CESL’s ecosystem or to commpete in CESL games, as outlined on the CESL.fun website and white paper.

2. Purpose of the Ordinals PreOrder

CESL intends to create non-fungible publishing rights for games within the CESL ecosystem. By holding a CESL Ordinal, the developer or publisher reserves the right to:

• Publish one game per Ordinal held.
• Access a premium publishing platform within the Web 3 ecosystem.
• Receive updates and notifications on game developer events and opportunities.
• Play or compete in any games published on our platform or integrated with our services.

3. PreOrder Terms

Price per Ordinal: ~$100
Total Gamepads Available: 970/1000 free CESL branded wireless bluetooth gamepads are available for first 1000 buyers.
Purchase Rights: Each Ordinal purchased provides the Participant with one game publishing right within the CESL network.
Payment and Access: The Participant acknowledges that a future payment process will be established once the Ordinals are made available for sale, with details to be communicated through CESL’s Substack and official channels.

4. Reservation of Rights

CESL reserves the right to modify the details of the Ordinal offering. In the event of any changes, the Participant will be notified in advance. CESL does not guarantee specific financial or gaming benefits, and this LOI does not represent a security or ownership interest in CESL.

5. Subscription to CESL Substack and Communication

To be added to the waiting list and receive notifications regarding Ordinal availability, news, and press releases, the Participant agrees to subscribe to CESL’s Substack newsletter. By subscribing to CESL News, the Participant acknowledges and accepts the terms of this LOI.

6. Non-Binding Intent

This LOI represents a non-binding agreement. Neither CESL nor the Participant is legally bound to fulfill the actions outlined in this document until an official sale and purchase agreement is executed.
